By using this invention submission form / website, you (the “user” or “you”) agree to be bound by the following terms and conditions (the “Terms of Service” or the "Agreement"). Before you may submit any invention information, you must read and accept all the terms and conditions in the Agreement. This Agreement is effective upon acceptance for new users and terms and conditions may be updated from time to time without notice to user.

You hereby acknowledge:

Waxman Consumer Products Group, Inc. (“the Company”) desires to improve its products and add profitable new products to its lines. It has found certain precautions necessary in accepting disclosures. You should realize that an idea, which is new to you, may be old to us or may be in the public domain. For example, the Company’s employees have numerous ideas of their own, some developed in the past, some now in development, for the purpose of improving or adding to our many lines of products. Some of these ideas might, be chance, be similar to your own. Thus, we have found that good business practice requires a full explanation of the conditions under which we can review your idea.

1. The Company cannot agree to hold your submitted idea in confidence because it may be helpful to disclose the idea to others for evaluation, and because agreements to hold in confidence have been found to entail other obligations, which the Company cannot accept. It is understood, therefore, that no confidential relationship is entered into by reason of the fact that the Company is considering your submission.

2. Any submission is made on the understanding that the Company shall give it such consideration as it merits in the sole judgment of the Company. The Company assumes no obligation to evaluate or pursue the idea, and is under no obligation to reveal to you any information of the Company to which the submission relates. You should submit only copies of materials to the Company, as materials will not normally be returned.

3. The Company will consider your submitted idea only at your request, and then only with your assurance that to the best of your knowledge you are the sole originator of the submitted idea, that you own it and that you have the legal right to negotiate with the Company concerning it. Any rights, which you might have against the Company, shall be based solely on the patent laws of the United States. However, this agreement or review by the Company shall in no way impair the Company’s rights to contest the validity or infringement of any patent that may have been obtained or may be obtained on the material or parts thereof.

4. This is not an agreement to give you compensation for your submission.

5. No agreement for compensation shall be implied by the consideration or review of your submission by the Company. Should the Company decide after due consideration that your submission is novel and previously unavailable to the public or the state of art and of use to it, the extent of your compensation will be determined by a written agreement between yourself and the Company.

6. This agreement is submitted to you with the request that you fill in the necessary information in the places indicated and return it to the Company either before or at the same time you submit your disclosure material. In the event your disclosure has already been submitted, no consideration will be made thereof until the agreement is completed and returned to the Company.
